Terms of Service

1. About these terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", "User") and Unlimit Lab Limited ("Unlimit Lab", "we", "us", "our"), a company registered in England and Wales under Company No. 16925967.

These Terms govern your access to and use of the Vennari platform, including our websites, mobile applications, APIs, hardware device, and any related services (collectively, the "Service").

By creating an account, downloading our applications, or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

If you are entering into these Terms on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

2. The Service

Vennari is a professional session intelligence platform that provides:

• Ambient audio capture with on-device transcription (Whisper.cpp)
• AI-powered minutes classification (tasks, actions, decisions, questions, information)
• Contact management with business card OCR, NFC, and QR sharing
• Face Vault — voluntary, consent-based facial recognition
• Cloud storage with tiered access (hot, warm, archive)
• Social sharing and post-session publishing
• Vennari Hardware Device for standalone or connected recording

We may add, modify, suspend, or discontinue features at any time. For material changes that negatively affect your use, we will provide at least 30 days' notice via email and in-app notification.

3. Eligibility and your account

Age requirement: You must be at least 18 years old to create an account and use the Service.

Accurate information: You must provide accurate, current, and complete registration information and keep it updated.

Account security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at security@vennari.ai if you suspect unauthorised access.

One account per person: Accounts are personal and may not be shared, transferred, or sold without our prior written consent.

Organisational accounts: If your employer or organisation has entered into an Enterprise agreement with us, additional terms in that agreement may apply.

4. Acceptable use

You agree not to use the Service to:

• Record individuals without their knowledge or consent where required by applicable law
• Use Face Vault to identify individuals who have not voluntarily enrolled
• Upload, store, or transmit any content that is unlawful, defamatory, harassing, threatening, or infringing on third-party rights
• Attempt to circumvent, disable, or interfere with any security feature, access control, or rate limit
• Reverse-engineer, decompile, or disassemble any part of the Service
• Use automated tools (bots, scrapers, crawlers) to access the Service beyond documented API limits
• Resell, sublicense, or commercially redistribute the Service without our written consent
• Use the Service for any activity that violates UK, EU, or applicable local laws
• Interfere with the performance or availability of the Service for other users

We reserve the right to suspend or terminate accounts that violate these restrictions, with or without prior notice depending on the severity of the violation.

5. Audio recording and transcription

Your responsibility: By using ambient audio capture, you confirm that you have obtained all legally required consent from other participants before recording. Recording laws vary by jurisdiction. In the UK, recording is generally legal with the consent of at least one participant (you), but other jurisdictions may require all-party consent.

Our role: Unlimit Lab Limited provides the technical tools for recording and transcription. We are not responsible for how you use these tools. Unlawful recordings remain your sole responsibility.

Accuracy: Transcription accuracy depends on audio quality, speaker accents, background noise, and the speech recognition model used. We make no warranty as to the accuracy, completeness, or reliability of automated transcriptions or AI-generated minutes.

Privacy Pause: The Service includes a "Privacy Pause" feature. We strongly recommend using it when conversations become sensitive or when requested by participants.

6. Face Vault consent obligations

Face Vault is an entirely optional biometric feature. By using Face Vault, you agree to the following additional obligations:

• You may only enrol your own biometric data. Enrolling another person's data without their informed consent is strictly prohibited
• You may not attempt to scan or identify individuals who have not voluntarily enrolled
• You acknowledge that attempting to match non-enrolled individuals may constitute a criminal offence under the Data Protection Act 2018, the UK GDPR, and the Protection of Freedoms Act 2012
• Face Vault processing is based on your explicit consent under Article 9(2)(a) of the UK GDPR. You may withdraw consent and delete your embedding at any time

7. Your content and intellectual property

Ownership: You retain all rights, title, and interest in your content (sessions, notes, contacts, audio recordings, photos, videos, and any other materials you upload or create). Unlimit Lab does not claim ownership of your content.

Licence to us: By using the Service, you grant Unlimit Lab a limited, non-exclusive, worldwide, royalty-free licence to store, process, transmit, and display your content solely to the extent necessary to provide, maintain, and improve the Service. This licence terminates when you delete your content or your account.

Feedback: Any feedback, suggestions, or ideas you submit about the Service may be used by us without obligation or compensation to you.

8. Our intellectual property

The Service, including all software, designs, logos, trademarks, documentation, AI models, and proprietary technology, is owned by Unlimit Lab Limited and is protected by copyright, trademark, patent, and other intellectual property laws of England and Wales and international treaties.

Nothing in these Terms grants you any right to use our trademarks, logos, or brand assets without prior written consent.

9. Subscription, payment, and billing

Plans: The Service offers free and paid subscription plans as described on our Pricing page. Features and limits vary by plan.

Billing: Paid plans are billed monthly or annually in advance. All prices are in British Pounds Sterling (GBP) and exclusive of VAT unless stated otherwise.

Payment processor: Payments are processed by Stripe, Inc. By subscribing to a paid plan, you also agree to Stripe's terms of service. We do not store your full payment card details.

Automatic renewal: Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.

Price changes: We may change our pricing with at least 30 days' written notice. Continued use after the new pricing takes effect constitutes acceptance.

Refunds: Monthly plans: no refund upon cancellation; access continues until the end of the paid period. Annual plans: refundable within 30 days of purchase if the Service does not meet your reasonable expectations. Enterprise plans: governed by individual agreements.

VAT: UK VAT at the prevailing rate will be added where applicable. If you are VAT-registered, provide your VAT number for reverse-charge invoicing.

10. Free trials and promotional offers

We may offer free trials or promotional pricing from time to time. At the end of a free trial, your subscription will automatically convert to a paid plan unless you cancel before the trial expires.

We will remind you via email at least 3 days before your trial ends. No payment card is required to start a free trial.

11. Termination

By you: You may terminate your account at any time from Settings or by emailing hello@vennari.ai. Your data will be permanently deleted within 30 days of account closure, except where retention is required by law.

By us: We may suspend or terminate your access immediately if you materially breach these Terms, engage in illegal activity using the Service, or fail to pay amounts due. For non-urgent breaches, we will provide 14 days' notice and an opportunity to remedy the breach.

Effect of termination: Upon termination, your right to use the Service ceases immediately. We will make your data available for export for 30 days following termination, after which it will be permanently deleted.

12. Disclaimers and limitation of liability

As-is basis: The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

No guarantee of availability: We do not guarantee uninterrupted, timely, secure, or error-free operation of the Service.

Liability cap: To the maximum extent permitted by applicable law, Unlimit Lab's total aggregate liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the greater of: (a) the total fees you paid to us in the 12 months preceding the claim; or (b) one hundred pounds (£100).

Exclusion of consequential damages: We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.

Statutory rights: Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be excluded or limited under applicable UK law, including the Consumer Rights Act 2015.

13. Indemnification

You agree to indemnify, defend, and hold harmless Unlimit Lab Limited, its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your breach of these Terms; (b) your misuse of the Service; (c) your violation of any applicable law; or (d) your content.

14. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by email and through an in-app notification at least 14 days before the changes take effect.

Your continued use of the Service after the updated Terms take effect constitutes your acceptance. If you do not agree to the updated Terms, you must stop using the Service and delete your account.

The latest version of these Terms is always available at vennari.ai/terms.

15. Dispute resolution and governing law

Governing law: These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.

Jurisdiction: The courts of England and Wales shall have exclusive jurisdiction over any dispute, except that we may seek injunctive relief in any court of competent jurisdiction.

Alternative resolution: Before commencing legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days. If unresolved, disputes may be submitted to mediation under the CEDR Model Mediation Procedure.

16. General provisions

• Entire agreement: These Terms, together with the Privacy Policy and any Enterprise agreement, constitute the entire agreement between you and Unlimit Lab regarding the Service.
• Severability: If any provision is held to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
• No third-party beneficiaries: These Terms are for the benefit of you and Unlimit Lab only and do not confer any rights on third parties under the Contracts (Rights of Third Parties) Act 1999.
• Force majeure: We shall not be liable for any delay or failure in performance caused by events beyond our reasonable control.
